Job Description

W. R. Grace & Co.'s ("Company") Legal Department is seeking an experienced, organized, and detail-oriented Corporate Paralegal to help support its U.S. and Non-U.S. subsidiaries and corporate real estate matters. You will be based at our corporate headquarters in Columbia, Maryland. As a key member of the Legal Department, you will work alongside Grace's in-house Counsel, outside counsel and business team members to support the businesses, mergers and acquisitions, matters relating to subsidiary governance, transactional due diligence, real estate matters and entity maintenance.

Responsibilities
  • Prepare minutes, resolutions, consents, notices, powers of attorney and other documentation relating to U.S. and Non-U.S. subsidiaries.
  • Maintain corporate organizational documents and records such as charters, bylaws, minute books, shareholder ledgers and stock certificates.
  • Maintain minute books, legal databases, and company-related files.
  • Arrange and track board meetings, track directors, officers, and representatives.
  • Arrange for a variety of documents to be signed by executives and/or directors regarding Grace's U.S. and Non-U.S. subsidiaries, original ink signatures and through DocuSign.
  • Manage annual report filings with State Secretaries of State, UCC searches, and related matters, including corporate service company relationships.
  • Maintain CSC (Corporation Service Company) Entity Management System, keep it updated with changes of directors and officers for the subsidiaries, upload documents into the system.
  • Prepare regular and periodic subsidiary reports for management.
  • Respond to internal requests for corporate information and documents.
  • Handle notarization, apostilling, consularization, and other document certification procedures.
  • Handle special projects, as required.
  • Process Entity Management invoices for Grace and its subsidiaries.
  • Review Guest User Access approvals for Grace's Teams and SharePoint Sites; review confidentiality sections of agreements.
  • Establish and maintain document sharing sites as requested
  • Work on real estate matters, including acquiring and divesting real estate and other assets.
  • Other responsibilities as assigned.
Required Qualifications
  • Bachelor's degree or a paralegal certificate.
  • Minimum 3 years of corporate support experience as a Paralegal or Legal Specialist at a law firm or in-house legal department.
  • Superior organization skills and ability to manage documents.
  • Effective analytical, critical thinking, organization and problem-solving skills.
  • Excellent writing and editing ability as well as superior attention to detail.
  • Demonstrated interpersonal and communication skills and a commitment to professionalism and collegiality.
  • Ability to effectively and efficiently manage numerous projects under time-sensitive deadlines.
  • Proven ability to collaborate effectively with team members, outside counsel, and third parties, as well as work independently.
  • Thorough knowledge and experience in Microsoft Office products (Word, Outlook, Excel, PowerPoint), SharePoint, and Entity Management Systems
  • Demonstrated aptitude for learning new subjects and technologies.
