About the Role The Corporate Development team is focused on executing strategic transactions for WeWork, including mergers & acquisitions, corporate divestitures, joint ventures, commercial partnerships, and minority investments. These transactions are meant to position WeWork for growth in an evolving and dynamic market segment and create value for WeWork's stakeholders. Reporting to the Vice President, Head of Corporate Development, the Director of Corporate Development will be responsible for mergers, acquisitions, investments, joint ventures and other strategic transactions to grow and build value for WeWork. To perform this role effectively, the Director of Corporate Development should have a robust technical background in financial modeling, business case construction, fundamental valuation analyses and deep transaction experience across the M&A and investment lifecycle. The Director will also play a pivotal role in advancing WeWork's asset-light growth strategies, including execution of franchise deals which often include divestitures of country or regional operations to our franchise partners. The Director of Corporate Development will be responsible for underwriting the valuation of potential M&A targets and should have the ability to build discounted cash flow analyses, multiple valuations based on public company comparables and precedent transactions, merger models and accretion/dilution analyses. The Director will also be responsible for working with functional leadership to assess the competitive landscape, identify gaps in the current portfolio and compare strategic alternatives through a build vs. buy vs. partner framework. The Corporate Development Director will act as the deal principal and drive execution in potential transactions. As such, the individual should have a mastery of the deal lifecycle across sourcing and underwriting valuations for potential targets, performing business diligence including Q&A with management, negotiating and structuring terms, managing functional due diligence, incorporating diligence findings into consolidated models, authoring term sheets and and drafting definitive documents with legal teams. As the deal principal, the Director will also be responsible for debriefing functional teams on terms and receiving requisite approvals from key stakeholders, including executive leadership. Compensation & Benefits Base Pay: $200,000 - $260,000 Incentive Compensation: WeWork employees are eligible to participate in an incentive plan specific to their role. WeWork incentive plans are subject to the terms of the applicable incentive compensation plan, which will be made available to you after commencing employment. WeWork reserves the right to amend its incentive plans, and nothing in this job requisition or any other document creates a right to a specific incentive plan payment.
